Terms of Use
The rules of the road for working together. We have written these to be readable rather than impressive, because terms nobody reads protect nobody.
The short version
We provide digital marketing services. You pay monthly, in advance. Work we create for your project becomes yours to use once that month is paid for. We do not guarantee rankings, traffic or revenue — search engines are third parties and nobody controls them. Either side can end the engagement with 30 days' written notice. Fees are not refunded once a month's work has started. If something goes wrong, we talk first before anyone involves lawyers.
This summary exists so you know what you are agreeing to. The full terms below are the binding agreement.
What you are agreeing to
These Terms of Use ("Terms") form a legally binding agreement between you ("Client", "you") and Evariko ("Evariko", "we", "us"), a digital marketing agency operated by Khairuzzaman Sharia Mondol. They govern your use of evariko.com and every service we provide.
By using this website, purchasing a service, or engaging us for any project, you confirm you have read and agree to these Terms, together with our Privacy Policy and Feedback Policy. If you do not agree with any part of them, do not use our services.
These Terms, together with any proposal, invoice or statement of work we issue, form the entire agreement between us. They replace any prior discussion, quote or verbal understanding.
Invoicing entity
Evariko is the brand under which we trade. Invoices and payment records would be issued in the name of it, our registered business name.
What Evariko does for you
We provide search and content marketing services intended to increase your organic visibility, qualified traffic and enquiries. Our work covers:
Search engine optimisation
Topical mapping, keyword and query research, technical fixes, on-page work, internal link architecture and content production.
Answer engine optimisation
Entity definition, structured data, knowledge graph work and content structured for extraction by AI assistants and generated answers.
Content production
Briefs, articles, landing pages and supporting copy, researched and edited by people who understand the subject.
Measurement and reporting
Analytics and Search Console setup, monthly reporting with written commentary, and strategy reviews.
The exact deliverables, scope and schedule for your engagement are set out in your proposal or statement of work. Where this document and your proposal disagree on scope, the proposal governs.
Who can engage us, and what access we need
To engage Evariko you must be at least 18 years old and legally able to enter a binding agreement. If you act for a company, you confirm you have authority to bind it to these Terms.
Accurate information
You agree to give us truthful and current information about your business, and to tell us promptly when something material changes.
Account security
Where we give you access to dashboards, reports or project tools, keep those credentials confidential and tell us immediately if you suspect they have been compromised.
Access we will ask for
To do the work we usually need access to your CMS, hosting, Google Analytics and Google Search Console. We ask for the minimum permission level that lets us do the job. Delayed access delays delivery, and we are not responsible for timelines missed because credentials arrived late.
How billing works
First payment on signup
Your first month is charged on the day you engage us. It covers onboarding, the initial audit, strategy development and the first month of delivery.
Monthly on the 1st
Every subsequent invoice falls due on the 1st of the calendar month. We plan and begin the coming month's work in advance, which is why billing runs ahead of delivery rather than behind it.
How to pay
Bank transfer, Wise, Payoneer or PayPal. Details are on your invoice. Prices are in USD unless we have agreed otherwise in writing. Transfer fees are yours; our own receiving fees are ours.
If payment is late
If an invoice is unpaid 7 days after its due date we may pause active work until it is settled. Beyond 30 days we may terminate and pursue recovery of what is owed, including reasonable costs.
Price changes
We may adjust pricing. Existing clients get at least 30 days' written notice before any increase applies, and you can cancel before it takes effect if you do not agree to it.
How to end the engagement
Thirty days' written notice. Email sharia@evariko.com to cancel. A verbal request is not enough. The notice period exists because we commission and begin production ahead of each cycle.
When it takes effect. Cancellation takes effect at the end of the billing cycle following your notice. You keep receiving services during that period, and work already in progress is completed and delivered.
Refunds. Fees are not refundable once a billing cycle has begun and work has started, because research, planning and writing are allocated at the start of each cycle. We will consider refunds in genuinely exceptional circumstances, at our discretion.
What you receive on cancellation. Everything completed and paid for is delivered to you. Drafts and in-progress work remain ours until the cycle covering them is paid in full.
Pausing instead of cancelling
If your circumstances change, talk to us before cancelling. We can usually arrange a pause of up to 60 days so you can resume without losing the ground already gained.
Your responsibilities
This work is a partnership. Results depend on your side as much as ours.
- Accurate briefing. Complete, honest information about your business, offer and customers. Wrong input produces wrong output.
- Timely feedback. When we send content or strategy for review, we ask for a response within 5 business days. Slow approvals push delivery and delay results.
- Lawful operation. You confirm your business, website and offering comply with applicable law. We are not responsible for the legal compliance of your business.
- No harmful use. You agree not to use our services unlawfully, interfere with our systems, or attempt unauthorised access to our tools or data.
- Content you supply. Any material you give us must be accurate, lawful and free of third-party infringement. You remain responsible for it.
Who owns what
Our methods. The frameworks, templates, processes and internal systems we use — topical mapping methodology, brief structures, reporting formats and research processes — remain the property of Evariko. They are shared with you to deliver the work, not to be reproduced, resold or passed to another agency.
Your deliverables. Content created specifically for your project — articles, landing pages, meta copy, briefs — transfers to you on full payment for the cycle it belongs to. From that point you may use it for your business without restriction.
Your material. Anything you provide stays yours. You grant us a limited, revocable licence to use it for the purpose of delivering your work.
Portfolio. We may reference your business name and a general description of the work in our case studies and marketing, unless you tell us in writing that you would rather we did not.
This website. Everything on evariko.com — text, graphics, guides, templates and downloadable resources — belongs to Evariko and is protected by copyright. Our guides are free to read, apply and share. They are not free to republish as your own.
Protecting sensitive information
Both sides agree to protect confidential information shared during the engagement. This includes business strategy, financial data, credentials, analytics and anything reasonably understood to be confidential.
- Mutual obligation. Neither party discloses or uses the other's confidential information outside the scope of this engagement without written consent.
- Reasonable care. Both parties protect the other's information with at least the care they apply to their own, and never less than reasonable care.
- Exceptions. These obligations do not cover information that is already public through no fault of the receiving party, was known beforehand, was independently developed, or must be disclosed by law.
- Survival. Confidentiality continues for two years after the engagement ends.
What we can and cannot promise
Read this part properly
Services are provided on an as-is basis. We do not guarantee specific ranking positions, traffic volumes, lead counts or revenue. Search rankings are decided by third-party algorithms we do not control and which change without notice. Any agency promising otherwise is misleading you.
What we do commit to. Applying the methods we publish openly, to the standard we describe, consistently, with honest reporting of what is and is not working.
Factors outside our control. Algorithm updates, competitor activity, market shifts, changes made to your site by others, hosting failures and platform policy changes all affect outcomes.
No warranty. To the maximum extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limits on our responsibility
To the maximum extent permitted by applicable law:
No indirect damages. We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, revenue, data, opportunities or goodwill, however the claim arises.
Liability cap. Our total aggregate liability for all claims relating to these Terms or our services will not exceed the fees you paid us in the three months immediately before the event giving rise to the claim.
What this does not limit. Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
Basis of the bargain. Our pricing is set on the basis of these limits, and both parties accept they form an essential part of the agreement.
Mutual protection
You agree to indemnify and hold harmless Evariko, its founders, employees and contractors against claims, damages, losses and reasonable legal costs arising from:
- Your breach of these Terms.
- Material you supply that infringes third-party rights, breaks the law, or contains misleading claims.
- Your use of deliverables in a way that breaks the law or infringes third-party rights.
- Third-party claims arising from the operation of your business, products or services.
Protecting our team
During the engagement and for twelve months after it ends, you agree not to directly or indirectly solicit, recruit or hire any Evariko team member who worked on your account, without our written consent.
Why this clause exists
We train people and build specialist knowledge over years. This clause keeps the people working on your account available to serve you and everyone else. If you want to discuss a referral or a proper arrangement instead, we are open to that conversation.
External resources and tools
Our site links to third-party resources, and our work uses third-party tools such as analytics platforms, crawlers and keyword research software.
- No endorsement. Linking to or using a third-party tool is not an endorsement of it. We do not control their content, accuracy or privacy practices.
- Your own risk. Your dealings with any third-party service are governed by that service's terms, not ours.
- Tool changes. We may change the tools we use at any time. If one is discontinued or changes materially, we move to an alternative without interrupting your service.
Ending the engagement
By you. Thirty days' written notice by email, as set out in Section 05.
By us, with notice. We may end the engagement with 30 days' written notice if it is no longer viable, if the work falls outside what we do well, or for another genuine business reason.
By us, immediately. We may terminate without notice if you materially breach these Terms, leave fees unpaid beyond 30 days, behave abusively or threateningly towards our team, or share account access with unauthorised third parties.
What happens next. We deliver all completed and paid work, remove our access to your systems, and issue a final invoice for anything outstanding. The sections covering intellectual property, confidentiality, liability, indemnification, non-solicitation and dispute resolution survive termination.
How we resolve disagreements
Good-faith discussion
Both sides agree to try to resolve any dispute through direct, good-faith conversation for at least 30 days from the date it is raised in writing.
Mediation
If that fails, either side may refer the matter to non-binding mediation with a mutually agreed mediator. Costs are shared equally.
Courts
If mediation does not resolve it, these Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
We have chosen English law because it is neutral ground for a business operating from Bangladesh and serving clients across the UK, US, Canada and Europe, and because it is well understood commercially by all parties.
Force majeure
Neither party is liable for failure or delay caused by events outside its reasonable control. These include:
- Natural disasters, pandemics, war, terrorism or civil unrest.
- Government action, sanctions or regulatory change that prevents performance.
- Internet, power or telecommunications failure, and cyberattacks affecting either party's ability to operate.
- Major search engine algorithm changes, platform shutdowns or API access being revoked by a third-party provider.
The affected party must notify the other promptly, take reasonable steps to limit the impact, and resume as soon as it can. If the situation continues beyond 90 consecutive days, either party may end the agreement without liability.
How and when we update this document
Effective date. The date at the top of this page always reflects the most recent revision.
Notice of material change. Where a change materially affects your rights or obligations, we will email active clients at least 15 days before it takes effect.
Continued use. Continuing to use our services after a change takes effect means you accept the updated Terms. If you do not, you may cancel under Section 05.
Additional legal provisions
Severability. If any provision is found invalid or unenforceable, the rest remain in force, and the invalid provision is modified only as far as needed to make it enforceable while keeping its intent.
Waiver. Failing to enforce a right does not waive it. Any waiver must be in writing.
Assignment. You may not assign your rights or obligations without our written consent. We may assign ours in connection with a merger, acquisition or sale of the business.
Entire agreement. These Terms, with our Privacy Policy, Feedback Policy and any proposal or statement of work, form the complete agreement between us.
Relationship. Nothing here creates a partnership, joint venture, agency or employment relationship. We operate as an independent contractor.
Headings. Section headings are for convenience and do not affect interpretation.
Common questions about these terms
How do I cancel?
Email sharia@evariko.com at least 30 days before you want to stop. Cancellation takes effect at the end of the billing cycle following your notice, and you keep receiving services throughout the notice period.
Can I get a refund if I am not happy?
Fees are not refundable once a cycle has begun and work has started. Raise concerns early through our Feedback Policy so we can fix them rather than let them build. In genuinely exceptional circumstances we will consider a refund at our discretion.
Do you guarantee first-page rankings?
No, and neither can anyone else honestly. Search rankings are decided by third-party algorithms that change constantly. What we commit to is applying the methods we publish openly, consistently, and reporting honestly on what is working.
Who owns the content you create for me?
Content made specifically for your project transfers to you on full payment for the cycle it belongs to. Our internal methods, frameworks and templates stay ours. We may reference your engagement in our portfolio unless you ask us not to.
Why do you publish your methods if they are your intellectual property?
Because reading how something is done and having it done well are different things. Our guides are free to read and free to apply. What clients pay for is execution, judgment and the time we spend doing it rather than the secret existence of a technique.
What happens if there is a dispute?
We talk first, in good faith, for at least 30 days. If that does not resolve it we go to mediation with costs shared. Only then would either side go to court, under the law of England and Wales. Conversation is faster and cheaper for everyone.
Can I pause instead of cancelling?
Usually yes, for up to 60 days. Talk to us. Pausing keeps the momentum you have built rather than starting over later.
Questions about these terms?
If anything here is unclear, or you want to discuss a specific clause before signing up, ask us. We would rather explain it now than argue about it later.
